End-User License Agreement

This End User License Agreement ("Agreement") is between Magexweb ("Licensor", "we") and the person or company that bought, downloaded or installed a Magexweb extension for Magento 2 ("Licensee", "you"). It applies to every Magexweb extension whose package refers to this Agreement. By installing or using the Software you accept this Agreement. If you do not accept it, do not install or use the Software.

1. Definitions

"Software" means the Magexweb extension you licensed: its source code, templates, styles, scripts, images, translations, sample data and documentation, and every update we provide for it, except the Third-Party Components described in section 7.

"Installation" means one Magento Open Source or Adobe Commerce code base that serves one production store, together with the store views and websites managed from that one admin panel.

2. License grant

2.1 Each purchase of an extension gives you a non-exclusive, non-transferable, non-sublicensable licence to install and use that extension on one Installation, for as long as you comply with this Agreement.

2.2 You may also install the Software on development, staging and test copies of that Installation, if those copies are not open to the public and are not used to serve customers.

2.3 You may modify the Software, or have a developer modify it for you, to suit that Installation. Modified versions remain subject to this Agreement.

2.4 Each additional production store that runs on its own code base needs its own licence. Each extension is licensed separately.

3. Restrictions

You may not:

  • (a) sell, resell, rent, lease, lend, sublicense, give away or otherwise distribute the Software, or a modified version of it, to any third party;
  • (b) publish the Software or a modified version of it, in whole or in part, including in a public code repository, a theme, an extension, a package or a marketplace;
  • (c) use the Software, or a substantial part of it, to create a product that competes with it;
  • (d) remove or change the copyright notices in the Software;
  • (e) use the Software on more Installations than you have licences for.

An agency or developer may install and modify the Software for a client, if the client holds the licence for that Installation.

4. Ownership

The Software is licensed, not sold. Magexweb keeps all rights, title and interest in the Software, including copyright. Nothing in this Agreement transfers ownership of the Software to you.

5. Updates and support

Updates and support are provided as described on the page where you bought the Software (for example the Adobe Commerce Marketplace listing). This Agreement does not oblige us to provide updates or support beyond what that page states.

6. Your data

Data the Software stores, such as content, form submissions, enquiries, uploaded files and settings, is kept in your own Magento database and file system. The Software does not send it to Magexweb. You are responsible for how you collect and process personal data with the Software, including any consent and retention rules that apply to you.

Some extensions can connect to external services that you choose to enable (for example Google reCAPTCHA or Google Maps). Those services are governed by their providers' terms.

7. Third-party components

Some extensions include components made by third parties, such as open-source JavaScript libraries. These are licensed by their authors under their own licences, not under this Agreement. Each extension's documentation names the components it includes, and their licence texts are included in the package.

8. Termination

This Agreement applies until it is terminated. It ends automatically if you breach it and do not remedy the breach within 30 days of notice from us. When it ends you must stop using the Software and remove it from every Installation and copy. Sections 4, 9 and 10 continue to apply after termination.

9. No warranty

TO THE EXTENT ALLOWED BY LAW, THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. YOU ARE RESPONSIBLE FOR TESTING THE SOFTWARE WITH YOUR STORE, THEME AND OTHER EXTENSIONS BEFORE USING IT IN PRODUCTION, AND FOR KEEPING BACKUPS.

10. Limitation of liability

TO THE EXTENT ALLOWED BY LAW, MAGEXWEB IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA OR BUSINESS, ARISING FROM THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. MAGEXWEB'S TOTAL LIABILITY UNDER THIS AGREEMENT IS LIMITED TO THE AMOUNT YOU PAID FOR THE LICENCE OF THE EXTENSION CONCERNED.

11. Changes to this Agreement

We may publish new versions of this Agreement on our website. The version that applies to a release of the Software is the one in effect when that release was published; the version number and date are shown at the top of the Agreement.

12. General

If any part of this Agreement cannot be enforced, the rest remains in effect. If we do not enforce a right, we have not waived it. This Agreement, together with the terms of the store where you bought the Software, is the entire agreement between you and Magexweb about the Software.
